About the Role
Our client is a group of companies in Nigeria seeking an Assistant Manager, Legal to support their expansion. This is a pivotal position responsible for corporate governance, legal compliance, contract management, and risk mitigation across the organization.
Key Responsibilities
Corporate Governance & Compliance
- Support in drafting board charters, constitutions, and governance frameworks
- Coordinate board and committee meetings, including preparing notices, agendas, and resolutions
- Maintain statutory registers and ensure timely filing of returns with regulators
- Monitor compliance with corporate governance codes, listing requirements, and internal policies
- Ensure compliance with all statutory, regulatory, and industry-specific laws
- Support the implementation of compliance frameworks across the business
Mergers, Acquisitions & Strategic Partnerships
- Assist in due diligence for acquisitions, joint ventures, and strategic partnerships
- Draft and review transaction documents including share purchase agreements, NDAs, and term sheets
- Coordinate with external counsel and advisors during deal structuring and execution
- Support integration of acquired entities into the company's governance and legal framework
Contract Management & Commercial Matters
- Draft, review, and negotiate contracts, MOUs, and commercial agreements
- Provide legal opinions and advice to business units on day-to-day operations
- Manage risk by identifying potential liabilities in contracts and transactions
- Ensure that contractual obligations are tracked and complied with
Regulatory & Stakeholder Relations
- Liaise with regulators, government agencies, and external legal advisors
- Assist in managing legal audits and investigations
Litigation & Dispute Resolution
- Monitor and manage ongoing litigation matters with external counsel
- Prepare case briefs, evidence, and internal reports as required
- Support in negotiating settlements and alternative dispute resolution processes
Required Qualifications
- First degree in Law (minimum 2:2)
- 4–6 years of strong, directly relevant experience within the oil and gas sector
- Strong corporate commercial background
- Previous in-house counsel experience
