## Title: Assistant Manager, Legal

About the Role

Our client is a group of companies in Nigeria seeking an Assistant Manager, Legal to support their expansion. This is a pivotal position responsible for corporate governance, legal compliance, contract management, and risk mitigation across the organization.

Key Responsibilities

Corporate Governance & Compliance

  • Support in drafting board charters, constitutions, and governance frameworks
  • Coordinate board and committee meetings, including preparing notices, agendas, and resolutions
  • Maintain statutory registers and ensure timely filing of returns with regulators
  • Monitor compliance with corporate governance codes, listing requirements, and internal policies
  • Ensure compliance with all statutory, regulatory, and industry-specific laws
  • Support the implementation of compliance frameworks across the business

Mergers, Acquisitions & Strategic Partnerships

  • Assist in due diligence for acquisitions, joint ventures, and strategic partnerships
  • Draft and review transaction documents including share purchase agreements, NDAs, and term sheets
  • Coordinate with external counsel and advisors during deal structuring and execution
  • Support integration of acquired entities into the company's governance and legal framework

Contract Management & Commercial Matters

  • Draft, review, and negotiate contracts, MOUs, and commercial agreements
  • Provide legal opinions and advice to business units on day-to-day operations
  • Manage risk by identifying potential liabilities in contracts and transactions
  • Ensure that contractual obligations are tracked and complied with

Regulatory & Stakeholder Relations

  • Liaise with regulators, government agencies, and external legal advisors
  • Assist in managing legal audits and investigations

Litigation & Dispute Resolution

  • Monitor and manage ongoing litigation matters with external counsel
  • Prepare case briefs, evidence, and internal reports as required
  • Support in negotiating settlements and alternative dispute resolution processes

Required Qualifications

  • First degree in Law (minimum 2:2)
  • 4–6 years of strong, directly relevant experience within the oil and gas sector
  • Strong corporate commercial background
  • Previous in-house counsel experience
