We are seeking an experienced Senior Associate to lead our team of Associates and manage a diverse portfolio of corporate and commercial legal matters. This is an ideal opportunity for a talented lawyer looking to take on increased responsibility and mentor junior team members.

Key Responsibilities

Transaction Structuring

• Develop and apply knowledge of transaction structures, term sheets, credit and security agreements
• Effectively implement transaction structures in client matters

Securities & Syndicated Loans

• Advise clients on laws, regulations and guidelines related to the issuance and exchange of securities
• Structure, issue and administer syndicated loans
• Guide clients through all stages of the syndicated loan process

Bond Issuance

• Demonstrate understanding of bond structures and Fixed & Mixed Income products
• Advise on the creation and issuance of bonds
• Guide clients through the bond issuance process

Mergers & Acquisitions

• Manage M&A transactions from inception to completion
• Handle joint ventures and corporate restructuring matters
• Apply knowledge of competition law in transactions

Corporate Financing

• Advise on different modes of Debt and Equity Financing
• Determine appropriate financing structures for different situations

Due Diligence

• Conduct thorough due diligence investigations
• Manage the due diligence process
• Identify key corporate documents and material transactions
• Generate comprehensive reports communicating all investigation findings

Contract & Agreement Drafting

• Draft shareholder agreements, trust deeds and project-related agreements
• Draft and negotiate contract and loan agreements

Required Qualifications & Experience

• Demonstrable knowledge of M&A transactions, joint ventures and restructuring
• Strong understanding of competition law
• Proven ability to manage complex legal transactions
• Excellent drafting and negotiation skills
• Team leadership experience
