Job Purpose

The Legal and Ethics Manager provides legal guidance and support to the Company's management and departments to ensure compliance with laws and regulations, protect the Company's interests, and manage legal risk. The role encompasses contract drafting and review, corporate governance, regulatory compliance, and dispute resolution.

Key Responsibilities

Legal Advisory and Compliance

• Provide legal advice and guidance on a broad range of corporate, commercial, and operational matters
• Monitor changes in legislation relevant to the company's operations and ensure timely implementation of compliance measures

Corporate Governance

• Support the Board of Directors and company secretariat functions in maintaining statutory registers, board resolutions, and corporate filings
• Advise on governance frameworks and best practices to ensure sound decision-making and accountability
• Ensure compliance with company law, shareholder agreements, and internal policies
• Monitor the implementation of anti-corruption laws and provide guidance on their execution and compliance

Ethics and Risk Management

• Ensure ethical standards are integrated into business policies, procedures, and operations
• Promote awareness of ethical conduct, conflicts of interest, whistleblowing procedures, and compliance obligations
• Conduct ethics audits, compliance reviews, and risk assessments to identify potential ethical vulnerabilities
• Stay updated on legislative and regulatory changes affecting corporate ethics and governance

Contract Management

• Draft and review commercial agreements, service contracts, leases, and supplier and customer agreements
