Role Summary
This role plays a pivotal role in managing and overseeing commercial contract matters within the due diligence unit of the Corporate Mergers & Acquisitions (CM&A) Practice Area. Your expertise will be critical in supporting clients throughout the merger and acquisition process, ensuring compliance with legal requirements, and mitigating risks associated with commercial contracts.
This position requires exceptional legal acumen, strategic thinking, and the ability to thrive in a dynamic and challenging environment.
Key Responsibilities
- Due Diligence Management: Lead and manage due diligence processes related to commercial contracts and transactions, ensuring thorough review, analysis, and drafting of contractual agreements and associated documents
- Contractual Compliance: Ensure compliance with Nigerian laws and regulations, as well as international legal standards, by conducting comprehensive legal research and analysis. Guide clients on regulatory and compliance issues to ensure adherence to legal regulations
- Strategic Advice: Provide strategic advice and recommendations on a wide spectrum of corporate and commercial transactions, including private equity, franchising, mergers, and acquisitions, highlighting potential risks and opportunities to support clients' business objectives
- Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of commercial contracts, including sale and purchase agreements, distribution agreements, licensing agreements, and service agreements, to protect client interests
- Cross-functional Collaboration: Collaborate closely with other practice areas and departments within the firm to ensure seamless delivery of services to clients and support cross-functional initiatives
- Client Relationship Management: Maintain and strengthen relationships with clients through professional service delivery and proactive communication
