Role Overview
The Fractional Legal Officer will provide strategic and hands-on legal support across corporate governance, technology investments, mergers and acquisitions, and general commercial matters. This role is ideal for a seasoned legal professional who can operate at both strategic and execution levels, supporting growth-stage and established businesses within Nigeria's evolving regulatory and investment landscape.
Key Responsibilities
Corporate & Company Law
- Advise on company formation, restructuring, shareholder arrangements, and corporate governance matters
- Draft, review, and negotiate shareholders' agreements, articles of association, board resolutions, and corporate policies
- Ensure compliance with the Companies and Allied Matters Act (CAMA) and other relevant Nigerian regulations
Technology & Investment Law
- Provide legal support on technology investments, venture capital, private equity, and startup financing transactions
- Advise on regulatory considerations affecting technology-driven businesses, including fintech, digital platforms, and data-driven enterprises
- Draft and negotiate investment agreements, term sheets, SAFE instruments, and related documentation
- Support compliance with data protection, intellectual property, and technology-related regulations
Mergers & Acquisitions
- Lead or support legal aspects of mergers, acquisitions, divestments, and joint ventures
- Conduct legal due diligence and risk assessments
- Draft, review, and negotiate transaction documents including SPAs, asset purchase agreements, and ancillary documents
- Support post-transaction integration and regulatory filings
General Legal Advisory
- Provide ongoing legal advice on commercial contracts, employment matters, and regulatory compliance
- Identify legal risks and propose practical, business-focused solutions
- Liaise with external counsel, regulators, and stakeholders as needed
