Position Overview
We are seeking a qualified Legal Officer to provide comprehensive legal support and advice to the organization. Reporting to the Head of Legal Department/Company Secretary, you will be responsible for managing legal matters, ensuring corporate compliance, and supporting the company's strategic objectives.
Scope and Impact
This role encompasses the following key areas:
- Secretarial and Corporate governance
- Advisory services
- Litigation and dispute resolution management
- Legal drafting
Key Responsibilities
- Draft a variety of legal agreements and contracts
- Provide advice on corporate legal issues and business matters
- Deliver internal advisory services to company departments
- Monitor maintenance of registers and records required under the Companies and Allied Matters Act (CAMA) and other applicable statutes
- Assist in the development of legal guidelines, policies, and procedures
- Advise on appropriate dispute resolution strategies
- Liaise with external solicitors to ensure expert handling of company litigation matters
- Coordinate Board and Board Committee meetings, including scheduling and minute preparation
- Attend all Committee meetings to prepare and circulate minutes for review
- File annual returns and post-incorporation documents with the Corporate Affairs Commission (CAC)
- Conduct extensive due diligence on prospective business partners and clients
- Perform additional functions as assigned
