About the Role
An established leading real estate firm is seeking a highly organized, detail-oriented, and strategic Company Secretary & Compliance Executive to join the leadership support team. The ideal candidate will be responsible for ensuring legal, regulatory, and statutory compliance while maintaining high standards of corporate governance. You will advise the Board of Directors, manage board meetings, maintain statutory records, and facilitate communication between the board, shareholders, and regulatory bodies.
Key Responsibilities
- Act as the primary advisor to the Board of Directors on their duties, powers, and corporate governance best practices
- Provide strategic guidance to the board, organize meetings (including drafting agendas, preparing board packs, recording minutes, and compiling resolutions)
- Ensure strict compliance with all statutory requirements, including filings with the Corporate Affairs Commission (CAC) and other relevant regulatory bodies
- Manage the company's statutory registers and handle all official corporate correspondence and legal documentation
- Facilitate effective communication between the board, management, shareholders, and external stakeholders
- Develop, implement, and monitor internal compliance policies to mitigate legal and operational risks
- Coordinate with legal, compliance, and risk teams to ensure a unified regulatory strategy
- Provide strategic direction to the compliance team and ensure alignment with overall business objectives
Required Qualifications & Experience
- Minimum 6 years of post-call experience in company secretarial or corporate legal roles, preferably in real estate
- At least 3 years in a leadership or senior management capacity, with the ability to guide Board-level discussions
- Deep understanding of the Companies and Allied Matters Act (CAMA) and Nigerian corporate regulatory requirements
