## Title: Company/Board Secretary

About the Role

Agona Rural Bank LTD invites applications from suitable individuals for the position of Company/Board Secretary.

Key Responsibilities

  • Assist the Board of Directors to comply with the constitution of the bank and with relevant enactments
  • Keep the books and records of the bank
  • Ensure that minutes of meetings of shareholders and directors are properly recorded as required by Act 992
  • Prepare and issue notices in the name of the bank
  • Ensure that annual financial statements of the bank are dispatched to every entitled person as required by Act 992
  • Ensure that all statutory forms and returns are duly filed with the Registrar
  • Provide the board with guidance on the duties, responsibilities, and powers of the board, including changes and developments in laws affecting bank operations
  • Inform the board of legislation relevant to or affecting meetings of shareholders and directors, and report any non-compliance at meetings
  • Advise directors on their responsibilities

Qualifications and Experience

Candidates must meet one of the following criteria:

  • Degree in Law or equivalent qualification
  • Completion of company secretary trainee program for at least 3 years
  • Member in good standing of the Institute of Chartered Secretaries and Administrators
  • Member in good standing of the Institute of Chartered Accountants, Ghana
  • Barrister or solicitor in good standing, enrolled to practice in Ghana
  • Good academic qualification or membership in good standing of any professional body capable of performing the duties of a secretary
